Last Updated: 14 October 2026

1. Scope and Application

1.1 These Terms of Service (“Terms”) govern your access to and use of the websites operated by VisionaryCue Informatics Private Limited (“VisionaryCue”, “we”, “us” or “our”), including:

https://visionarycue.org/

https://opm.visionarycue.org/

https://ecosystem.visionarycue.org/

https://development.visionarycue.org/

together with the content, features, tools and services made available through those websites (collectively, the “Websites”).

1.2 These Terms apply to all visitors, prospective clients, users and other persons accessing or using the Websites. By accessing or using the Websites, you agree to be bound by these Terms. The processing of personal data in connection with the Websites is governed by our Privacy Policy.

1.3 Specific services, courses, products or client engagements may be subject to additional terms, proposals, quotations, statements of work, service agreements or other written agreements issued or entered into by VisionaryCue. Where such terms apply, they will govern the relevant service or engagement to the extent of any inconsistency with these Terms.

1.4 These Terms do not govern services provided by VisionaryCue through separate brands, products or websites that are subject to their own terms of use or service terms, unless expressly stated otherwise.

2. Acceptance and Use

2.1 By accessing or using the Websites, you confirm that you have read, understood and agree to be bound by these Terms and any applicable additional terms. If you do not agree, you must not use the Websites.

2.2 You must use the Websites only for lawful purposes and in a manner that does not damage, disable, overburden or impair their operation or interfere with the use of the Websites by others.

2.3 You must not attempt to gain unauthorised access to the Websites, their systems or related networks; introduce malicious code or harmful material; circumvent security measures; or use the Websites for any unlawful purpose or in violation of any applicable rights or laws.

3. Services and Client Engagements

3.1 The Websites provide information about VisionaryCue, its offerings and related services, and may enable users to submit enquiries, request consultations, explore courses or other offerings, and communicate with VisionaryCue.

3.2 Information presented on the Websites is provided for general informational purposes. Specific services, deliverables and outcomes are governed by the terms applicable to the relevant offering.

3.3 An enquiry, consultation request or other communication through the Websites does not create a client, contractual or professional relationship with VisionaryCue. A service engagement arises only when expressly accepted and documented by VisionaryCue in writing or through an applicable written agreement.

3.4 The scope, deliverables, fees, timelines and other terms applicable to a specific service or client engagement will be governed by the applicable proposal, quotation, statement of work, service agreement or other written agreement between the parties.

4. Enquiries and AI-Assisted Interactions

4.1 You must provide accurate and non-misleading information when submitting an enquiry or request through the Websites and update such information where reasonably necessary for us to respond.

4.2 Certain enquiry flows may use automated systems and artificial intelligence to ask follow-up questions, understand or qualify your requirements, and assist with responding to your enquiry. AI-assisted questions and responses form part of the enquiry process and do not constitute a commitment to provide any particular service or outcome.

4.3 You are responsible for reviewing information provided through an AI-assisted interaction before relying on it or making decisions based on it.

5. Fees, Payments and Taxes

5.1 Fees for paid courses, services or other offerings will be as displayed on the relevant Website or communicated through a quotation, proposal or other applicable commercial terms.

5.2 Where payment is required, you agree to provide accurate payment and billing information and to pay all applicable fees in accordance with the payment terms specified for the relevant offering.

5.3 Payments may be processed through third-party payment providers. Their terms, conditions and privacy practices may also apply to the payment transaction.

5.4 The total amount payable for a paid offering, including applicable taxes and other mandatory charges, will be disclosed before you complete the purchase, with the applicable tax component separately identified where required by law. Any applicable taxes, duties or government charges not included in the displayed total will be disclosed before purchase or in the applicable commercial terms.

5.5 Refunds, cancellations, payment disputes and other payment-related conditions applicable to a specific paid offering will be governed by the terms disclosed for that offering at or before the time of purchase, or by the applicable written agreement.

5.6 Paid courses, services and other paid offerings available through the Websites may be purchased only by persons who have completed 18 years of age and are legally competent to enter into a binding contract under applicable law. By completing a paid purchase, you confirm that you meet these requirements.

5.7 Before completing a paid purchase, you must tick the designated checkbox to expressly accept these Terms and the applicable offering-specific terms, including the applicable refund and cancellation terms. VisionaryCue will maintain a record of your acceptance for its records and compliance purposes.

6. User Responsibilities

6.1 You are responsible for ensuring that any information, materials or content you submit through the Websites is accurate, lawful and appropriate for the purpose for which it is submitted.

6.2 You must not submit or transmit any content that is unlawful, fraudulent, defamatory, misleading, infringing, unlawfully harmful, or that violates the intellectual property, privacy or other rights of any person, or contains malicious code or harmful files.

6.3 You must not impersonate another person or misrepresent your identity, affiliation or authority, or use another person’s information without appropriate authorisation.

6.4 Where access credentials are issued or required, you are responsible for keeping them confidential and for activity carried out through access authorised to you.

7. Intellectual Property

7.1 Unless otherwise stated, the Websites and all content made available through them, including text, graphics, logos, branding, designs, software, interfaces, videos, materials and other content, are owned by or licensed to VisionaryCue and are protected by applicable intellectual property laws.

7.2 Subject to these Terms, VisionaryCue grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Websites and their content for their intended lawful purposes. No ownership or other intellectual property rights are transferred to you.

7.3 You must not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, commercially exploit or otherwise use VisionaryCue’s intellectual property except with our prior written permission or as expressly permitted by applicable law.

7.4 Any intellectual property created specifically for a client as part of a paid engagement will be governed by the applicable client agreement, proposal, statement of work or other written terms.

8. User-Submitted Content

8.1 You retain ownership of content, materials and information that you lawfully submit to VisionaryCue through the Websites, subject to any separate agreement governing a service or engagement.

8.2 You grant VisionaryCue a limited right to access, use, reproduce and process such content and materials to the extent reasonably necessary to review and respond to your enquiry or request and to provide any services you subsequently engage VisionaryCue to provide.

8.3 You represent that you have the necessary rights and authority to submit the content and permit its use for the purposes described above.

8.4 Nothing in these Terms transfers ownership of your content to VisionaryCue. Use of client materials or deliverables after an engagement, including any rights to use them for portfolio, promotional or other purposes, will be governed by the applicable agreement or your express permission.

9. Third-Party Services and Links

9.1 The Websites may use or integrate third-party services, platforms, tools and technologies, including payment, analytics, communication, advertising and hosting services. Your use of any third-party service may also be subject to the applicable terms and privacy policies of that third party.

9.2 To the extent permitted by applicable law, VisionaryCue is not responsible for the availability, content, security, functionality or practices of third-party websites, platforms or services that are not owned or controlled by VisionaryCue.

9.3 Third-party links may be provided for convenience and do not constitute an endorsement, sponsorship or guarantee by VisionaryCue. Your use of third-party websites or services is subject to their applicable terms and policies.

10. Website Availability and Changes

10.1 VisionaryCue may update or modify the Websites, including their content, features, tools and functionality, from time to time for operational, technical, business, security or legal reasons.

10.2 VisionaryCue does not guarantee that the Websites will be continuously available, uninterrupted, secure or error-free. Availability may be affected by maintenance, technical issues, third-party services, network failures or circumstances beyond VisionaryCue’s reasonable control.

10.3 We may correct, update or remove Website content where reasonably necessary. We are not obligated to maintain any particular content, feature or functionality unless expressly agreed under a separate written agreement.

11. Disclaimers

11.1 The Websites and their content are provided on an “as available” basis. To the extent permitted by applicable law, VisionaryCue does not warrant that the Websites or their content will always be accurate, complete, current, uninterrupted or free from errors or harmful components.

11.2 Information provided through the Websites, including AI-generated questions and responses, examples and materials, is for general informational purposes only and does not constitute legal, financial, medical or other professional advice, unless expressly provided under a separate written professional service agreement.

11.3 Any examples, projected results, performance expectations, timelines or business benefits described on the Websites are illustrative only and are not guarantees of any particular result or outcome, unless expressly agreed in a separate written agreement.

12. Limitation of Liability

12.1 To the maximum extent permitted by applicable law, VisionaryCue shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, business opportunity, goodwill, anticipated savings or data, arising from or relating to your access to or use of the Websites or reliance on their content.

12.2 To the maximum extent permitted by applicable law, VisionaryCue’s aggregate liability arising from or relating to the Websites or these Terms shall not exceed the fees actually paid by you to VisionaryCue for the specific service or offering giving rise to the claim.

12.3 Nothing in these Terms excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited under applicable law. Any liability expressly assumed by VisionaryCue under a separate written agreement will be governed by that agreement.

13. Indemnification

13.1 To the extent permitted by applicable law, you agree to indemnify and hold harmless VisionaryCue, its directors, officers, employees and authorised representatives from claims, liabilities, damages, losses and reasonable costs and expenses arising out of or in connection with your material breach of these Terms, your unlawful or unauthorised use of the Websites, or a claim that content or materials submitted by you infringe or violate the rights of any third party or applicable law.

13.2 VisionaryCue will provide reasonable notice of any claim for which indemnification is sought and may participate in its defence. You may not settle any such claim in a manner that admits liability on behalf of, or imposes any material obligation on, VisionaryCue without its prior written consent.

14. Confidentiality

14.1 Personal data submitted through the Websites is handled in accordance with the Privacy Policy. Submission of confidential or proprietary business information through the Websites does not, by itself, create a confidentiality obligation, except where required by law or expressly agreed in writing.

14.2 Any confidentiality obligations contained in a separate written agreement will apply to information covered by that agreement.

14.3 Where confidentiality obligations apply, they do not extend to information that is lawfully public, was already lawfully known without an obligation of confidentiality, was independently developed without use of confidential information, or is required to be disclosed by law or lawful authority.

15. Suspension and Termination

15.1 We may suspend or restrict your access to all or part of the Websites where reasonably necessary to protect the Websites or our systems, comply with applicable law, address security concerns, or respond to a breach of these Terms.

15.2 We may discontinue any Website or any feature, service or functionality made available through a Website, subject to any obligations applicable under a separate written agreement.

15.3 Provisions which by their nature are intended to survive suspension or termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, confidentiality, governing law and jurisdiction, will survive.

15.4 Suspension or termination of access to a Website does not, by itself, terminate or modify any separate agreement between you and VisionaryCue.

16. Privacy and Data Protection

16.1 Your use of the Websites is subject to our Privacy Policy, which explains how we collect, use, store and otherwise process personal data in connection with the Websites.

16.2 Where VisionaryCue processes personal data on behalf of a client in connection with an agreed service, such processing will be governed by the applicable client agreement and any applicable data-processing terms.

17. Changes to These Terms

17.1 We may update these Terms from time to time to reflect changes to the Websites, our services, business practices, technology or applicable law.

17.2 The updated Terms will be effective from the date stated in the revised version. Where a change is material, we will provide reasonable notice through the Websites or another legally permitted method.

17.3 Your continued use of the Websites after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law. Changes to these Terms will not retroactively alter the terms applicable to a completed purchase or an existing service engagement, except where required by law or agreed in writing.

18. General Legal Provisions

18.1 Governing Law and Jurisdiction. These Terms are governed by the laws of India. Subject to applicable law, the courts having jurisdiction over Noida, Uttar Pradesh, will have jurisdiction in relation to these Terms. Nothing in these Terms limits any rights or remedies available to a consumer under applicable consumer protection law, including any right to approach a competent Consumer Commission where permitted by law.

18.2 Severability. If any provision of these Terms is held to be invalid, unlawful or unenforceable, the remaining provisions will continue in full force and effect, and the affected provision will be enforced to the extent permitted by law.

18.3 No Waiver. A failure or delay by VisionaryCue in exercising any right or remedy under these Terms will not constitute a waiver of that right or remedy.

18.4 Entire Understanding. These Terms, together with any documents expressly incorporated by reference, constitute the terms governing your use of the Websites and supersede any prior understandings relating specifically to such use.
